1. Grant¶
Subject to the MSA, Order Form, and payment, Licensor grants Customer a non-exclusive, non-transferable license to install and use the Enterprise Software identified on the Order Form, in object code form (unless source escrow applies), solely for Customer’s internal production and non-production use, up to licensed metrics.
2. Proprietary software; third-party components¶
The Enterprise Software is proprietary to Licensor. It is not licensed under Apache, MIT, LGPL, or similar open-source terms. The Software may include third-party components governed by their own licenses (see NOTICE). All Licensor product code, commercial extensions, trust orchestration engines, hosted connectors, and AI automation packs remain proprietary.
3. Restrictions¶
Customer shall not reverse engineer, decompile, or attempt to derive source code from commercial enterprise modules, except where mandatory applicable law expressly permits and Licensor receives prompt written notice.
Customer shall not publish benchmark results without written authorization (see MSA).
4. Delivery and updates¶
Delivery via secure download, private registry, or physical media as agreed. Maintenance releases and security patches included during active subscription unless Order Form states otherwise.
5. Audit (transparent)¶
Licensor may request a reasonable, annual certification of deployment metrics against the Order Form, with thirty (30) days’ notice, no more than once per twelve (12) months, during normal business hours. Customer will not be subject to punitive retroactive charges without prior written agreement on a remediation plan.
6. IP ownership¶
Licensor retains all rights in Enterprise Software. No implied licenses. Feedback may be used without restriction.
7. Export¶
Customer represents compliance with export control and sanctions laws (see Export Compliance Addendum).
8. Term¶
Co-terminous with Order Form subscription term. Upon expiry or termination, Customer uninstalls and destroys copies except archival backups per MSA.
