Export compliance addendum (template)

1. Export-controlled technology

The Software may include or enable encryption, network security, attestation, or confidential computing capabilities subject to export control laws including (as applicable) India’s SCOMET rules, U.S. EAR, EU dual-use regulations, and similar regimes.

2. Customer representations

Customer represents that it:

  • Is not located in, organized under, or ordinarily resident in a country subject to comprehensive embargo or sanctions (e.g., as restricted by India, UN, US OFAC, EU—list to be maintained by counsel);
  • Is not a denied party, restricted entity, or military end-user where prohibited without authorization;
  • Will not export, re-export, or transfer the Software or technical data in violation of applicable law;
  • Will obtain all required government licenses before deployment in regulated or government/military contexts.

3. Prohibited uses

Without limiting the AUP, Customer shall not use the Software:

  • For development or production of nuclear, chemical, or biological weapons;
  • For unlawful interception of communications;
  • In violation of sanctions targeting specific persons, entities, or regions.

4. Cooperation

Customer will cooperate with reasonable export classification inquiries. Zyvor may suspend delivery if it reasonably believes a violation has occurred or is imminent.

This addendum does not constitute legal advice. Customer is responsible for its own export and sanctions compliance program.
